BUY CONTRACT OF A SUBSCRIPTION FOR THE SOFTWARE PRODUCT CV EXPERT AND THEIR UTILITIES
IMPORTANT This end-user license agreement is a contract between you (a physical or a unique moral person) and CV Expert inc. with which you acquired the software CV Expert hereafter identified as the SOFTWARE PRODUCT. To have the right of using the whole licence of CV Expert, you must pay the required license by CV Expert inc. in the form of subscription. If you do not pay the license to CV Expert inc. in the form of subscription, you are not authorized to use the SOFTWARE PRODUCT in its complete version. The SOFTWARE PRODUCT includes computer programs, all printed documentation and all online documentation. By installing, copying or using in some other way the SOFTWARE PRODUCT, you recognized being linked by the present terms of this contract. If you are disagreeing with contract terms, CV Expert inc. do not consent to concede you a SOFTWARE PRODUCT license. In this case, you dont have the right of using or copying the SOFTWARE PRODUCT. READ ATTENTIVELY THE CONTRACT IN ITS INTEGRITY BEFORE PRECEDING THE INSTALLATION AND USE OF THE SOFTWARE PRODUCT. THIS LICENCE AGREEMENT OFFERS THE RIGHT OF USING THIS SOFTWARE PRODUCT AND CONTAINS INFORMATION CONCERNING THE GUARANTEE AND THE EXCLUSIONS OF RESPONSIBILITY. BY BUYING, INSTALLING AND USING THIS SOFTWARE PRODUCT, YOU CONFIRMED YOUR AGREEMENT OF THE SOFTWARE PRODUCT AND AGREE TO BE LINKED BY THE TERMS OF THIS LICENCE AGREEMENT. By buying a subscription for the CV Expert software, you agree with no reserve that your informations (subscription code, the forename and name of the license holder and your sales order number) can be conserved on the computer and on the servers of CV Expert inc. provided by the license buyer.
The subscription codes activation can be anonym and dont suppose the divulgation of ADDITIONAL personal information with those provided after the subscriptions purchase of the SOFTWARE PRODUCT or with those modified after the subscriptions purchase of the SOFTWARE PRODUCT by the buyer. Definitions of the types of licenses.
«Evaluation licence» indicates a software licence, intended for evaluation operations of the aforesaid software, during one specific subscription or of which certain functions have been deactivated or limited. The evaluation version can not allow the end-user to save his project, and can stop working at the end of a certain period by an intern software mechanism.
«Complete version» indicates a software version, of which all the functions are
activated during a specific period and which products saving project have been
created by the end-user.
«Home license» indicates a software licence, intended for everyone which the use is restricted strictly within the personal frame-work. «Home license» is reserved strictly to private individuals excluding installation and the use as part of professional and commercial or made available to more than one user (individual) that is not being consequently intended to the professional use of teaching establishments, enterprises, companies and organisms with lucrative or not lucrative objectives or to any other society constituted legally. It is forbidden of using the home license inside teaching establishments, enterprises, companies and organisms with lucrative of not lucrative objectives or to any society constituted legally. Any use that doesnt respect these conditions, amongst other things the professional ou commercial use of the home license is strictly prohibited.
«Professional license» indicates a software licence intended for every users types, or individuals, teaching establishments, enterprises, companies or organisms with lucrative or not lucrative objectives or to any other society constituted legally.
«Renewal»
The renewal represents for CV Expert inc. the mean way to determine if a product disposes of a common and valid license for end-users of the product and to receive its updates. When you execute CV Expert, the subscriptions Assistant included with CV Expert contact a computer from CV Expert inc. going through Internet in order to obtain the last information on the subscription. If you disposed a valid subscription of your SOFTWARE PRODUCT, it will download the last information and propose the last updates that are available. If your subscription is about to expired, you will receive a message advertising you the end of your subscription. If your subscription expires, your product wont work properly as a complete version of your SOFTWARE PRODUCT.
«THE COMPUTER» indicates a unique computer, on which you can install the SOFTWARE PRODUCT.
SOFTWARE PRODUCTS LICENSE
The SOFTWARE PRODUCT is protected by the regulations and the internationals treaties as regard author rights also by the other regulations and internationals treaties as regard intellectual properties. The SOFTWARE PRODUCT is not sold but conceded under license. If the PRODUCT SOFTWARE is conceded under subscriptions license (software use with a limited duration) and that you dont renew subscription required, you recognized your obligation to uninstall the SOFTWARE PRODUCT in its complete installed version on the computers at the end date of subscription and at the address appearing on the servers of CV Expert inc.. The software offered in remote loading or in any other support are protected by copyright and belong to CV Expert inc. and/or their suppliers. The use of this software is governed by the terms and conditions of this CONTRACT that are included in this software or publicized otherwise on the web pages linked with the software. An end-user can not download or install the software without accepting the terms and conditions of this contract. Any use or reproduction of this software as part of any accordance with this agreement CONTRACT for end-users is prohibited expressly. The public offenders will be prosecuted in the allowed limits by the law. The downloadable software available is intended in accordance with the use of the terms of the corresponding agreement contract. The use of the software not accompanied of an agreement contract will have to be governed by the terms of use. The downloaded software from the websites and http://www.cvexpert.ca and net are provided with limited rights. Conferred rights as part of this agreement contract are not exclusives. CV Expert inc. will be able, following a reasonable notice, to verify the credibility of the clauses of the present license.
1. License/concession
This contract concedes the rights hereafter:
«Evaluation licence»
*Software in an evaluation version. This license for the evaluation version is giving you the right to install and use the software on an unlimited numbers of computers on the same address and to install and preserve the software on a peripheral storage, like a network server, used uniquely to install the software on other computers of an intern network. CV Expert inc. DONT OFFER ANY GUARANTEE, INTENTIONALLY OR TACIT, CONCERNING EVALUATION LICENCES. You engage has to not deteriorate the content of a hard disk, of an information processing system or any other Internet server of CV Expert inc. to allow the use of the evaluation version of the SOFTWARE PRODUCT of the duration exceeding the forecast limit or by using not authorized content by the license of this version. After some time, by installing the Evaluation licence, you are recognizing and accepting that it wont work anymore, that the options and the contents are limited by an intern mechanism of the software.
*Software «Home license». This license gives you the right to install and use the software on one computer, or install and conserve the software on a peripheral storage or on more than one computer provided that you held a license for each computer on which the software is installed and executed. Software license cant be divided, installed or used simultaneously on different computers. You are authorized to save the subscription code of the SOFTWARE PRODUCT in order to profit of the complete version for the given period by the renewal uniquely if you have paid the uses license of the SOFTWARE PRODUCT for each computer on which the SOFTWARE PRODUCT is installed and if CV Expert inc. gave you the codes. You understand the home license is destinated for one installation and one desktop use situated inside a dwelling or an apartment and its prohibited consequently to install and to use this license inside a commercial building belonging to a teaching establishment, enterprise, company or organism with lucrative or not lucrative goal or to any other society constituted legally. Its strictly prohibited to use a home license to provide technical support to users licenses « home » and « professional » has less to have paid a professional license to do it even if its in this case, a home license, the uses nature which is considered like a professional license.
*Network services « Home license ». The SOFTWARE PRODUCT doesnt contain the functionality which allows the COMPUTER to work like a network server. You must install the SOFTWARE PRODUCT on each computer plugged in an intern network.
*Software « Professional license ». This license of which every function are activated and on which the products saving have been created by the end-user, give you the right to install and use the software on an unlimited number of computers as much as they are physically installed at the same address indicated on the servers of CV Expert inc., install and conserve the software on a peripheral storage, such as a network server providing your designated status on the payment bill give you the right to these specificities. For example we find organisms constituted legally, teaching establishments, privates and public enterprises, governments, and all other entity constituted legally. You are authorized to save the subscription code of the SOFTWARE PRODUCT for each computers forming part of the same address indicated on the servers of CV Expert inc. in order to benefit of the complete version for the determined period by subscription service and that only if you had paid the uses license of the SOFTWARE PRODUCT and if CV Expert inc. gave you the subscription codes for each of the computers. Establishments having several branches, buildings, faculties or houses must pay a license for each branch, faculty or house where the software is installed. For example, universities that install a license in two faculties of the same university department have to pay two professionals licenses and can install the SOFTWARE PRODUCT on an unlimited number of computers for each of its faculties. The organism, establishment or enterprise having many services points have to pay a professional license for each of it.
* Network services « Professional license ». The SOFTWARE PRODUCT doesnt contain a functionality which allows COMPUTER to work as a Network server. You must install the SOFTWARE PRODUCT on each computer plugged in an intern network.
1.1 SUBSCRIPTION CODES
The subscription codes are necessary for all the licences of the SOFTWARE PRODUCT except for the evaluation version. The subscription codes are alphanumerical chains of 31 characters. You must copy-paste (or use your keyboard) the code that have been provided following your purchase in the field « subscription code » during the first opening of the SOFTWARE PRODUCT to activate your license of use.
The SOFTWARE PRODUCT requires that you conserve your subscription code each and every time and that you stock it in a safe place. You should only use the subscription code assigned to this SOFTWARE PRODUCT in the case you would have to reinstall the operating system.
Each subscription code can only be used to install or use the SOFTWARE PRODUCT on a given numbers of computers. The exact number of computer where you can install the SOFTWARE PRODUCT depends on the end-user agreement contract associated with the bought license. If you have received many subscription codes, it is essential that you keep the subscription codes in memory.
1.2 ACTIVATION ASSISTANT OF THE SUBSCRIPTION CODE OF THE SOFTWARE PRODUCT
End-user can use the complete version of his SOFTWARE PRODUCT uniquely if he has activated his subscription code with the help of the button « Activate the code » and if the subscriptions license is valid. If the user doesnt activate the code, the licenses rights of the user are limited to the terms of the end-user agreement contract and the SOFTWARE PRODUCT passes to the reduced functionality mode called also « Evaluation licence ». Even if the subscription code has been activated, this one must be valid at the moment the SOFTWARE PRODUCT is running and according to the determination of the duration. Subscription code correctly activated can not allow a complete use of the SOFTWARE PRODUCT if its subscription duration is over.
1.3 Collect of information

User can execute the SOFTWARE PRODUCT in a limited version before activating the SOFTWARE PRODUCT for the next opening procedure of the session. 2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS
*Limitations on reverse engineering, decompilation, and disassembly. You may not reverse engineer, decompile, or disassemble the Software. You are equally engage to not deteriorate, amalgamate, modify, adapt or convert the SOFTWARE PRODUCT.

This code can be used only with the SOFTWARE PRODUCT on the computers forming part of the same indicated address on the bill. Because the SOFTWARE PRODUCT works with this subscription code, you are not authorized to copy, to lend, to exchange, to sale or to give this code to others or to install it on the computers located to the different addresses that those indicated on the servers of CV Expert inc..
*SOFTWARE PRODUCTS SUBSCRIPTION CODE « Home license ».The SOFTWARE PRODUCT is conceded under license with a subscription code as a unique integrated product. The code cant be used without the SOFTWARE PRODUCT on the COMPUTER. Because the SOFWARE PRODUCT works with this subscription code, you are not authorized to copy, to lend, to exchange, to sale or to give this code to others.
*Renting. You are not authorized to rent, to lend or to leases lend the SOFTWARE PRODUCT and the subscription code. You are engage not to grant under-license of the SOFTWARE PRODUCT.
*Softwares transfer. In case you sale your computer, you must erase the content of the SOFTWARE PRODUCT (including its components, the supports and the printed documentation, every updates, the present contract).
*Confidentiality. You are responsible of the maintenance of the written or saved informations confidentiality of the SOFTWARE PRODUCT as a purchaser of the SOFTWARE PRODUCTS license or simply as a normal user. CV Expert inc. and the author could not be held responsible of any not authorized use of the information that you have written or saved with the SOFTWARE PRODUCT.
*Termination. Without any prejudice of any other rights, CV Expert inc. will be able to terminate this contract if you dont respect the contracts terms. In this case, you will have to destroy any copies of the SOFTWARE PRODUCT that you have installed on the COMPUTER and all of its components and return the SOFTWARE PRODUCT at CV Expert inc. if this is the situation.
*Reserves. CV Expert inc. is reserving its right to modify at any time the present contract. CV Expert inc. is equally reserving any right of transmitting personal information concerning your case if the law would oblige CV Expert inc. to do it or to protect its rights of ownership of the SOFTWARE PRODUCT or those of its users, sponsors, partners, announcers or suppliers.
*Applicable Right. The present contract is governed by the applicable rights of the province of Quebec in Canada.
3. UPDATES,
If the SOFTWARE PRODUCT is an update of another product, you cant use or transfer the SOFTWARE PRODUCT only if its in association with this product updates. CV Expert inc. can publish tools or UTILITAIRES UTILISABLE and/or downloadable in complements with the published software. CV Expert inc. offers none guarantee as for the precision of the by-product results of the use of those tools or utilitarian or updates. If the update of the SOFTWARE PRODUCT contains an End-user license agreement, you obligatory must read this End-user license agreement because its completing or replacing the End-user license agreement original version of your SOFTWARE PRODUCT. It defines the terms and the applicable conditions with the original software and with the update. In case of an update including an end-user license agreement, you will be obliged to accept the end-user license agreement. If the updated SOFTWARE PRODUCT doesnt contain end-user license agreement, your rights continue to being governed by the terms of the originals end-user license agreement of your SOFTWARE PRODUCT.
4. AUTHORS RIGHTS.
Every rights of ownership and relatives authors rights with SOFTWARE PRODUCT (including, in a not limitative way, those related to any image, small application, photography, animation, music, any video or sound effects element and every integrated text to the SOFTWARE), with printed documentation who accompanies it and with any copy of the SOFTWARE PRODUCT, are held by PAOLO MAILLETTE (AUTHOR). The SOFTWARE PRODUCT is protected by the rules and the internationals treaties concerning the authors right. This SOFTWARE PRODUCT carried the registered number 1001211 saved at the intellectual propertys office of Canada. CV Expert is a registered trade-mark by Paolo Maillette in date of 18TH January 2005 registered number TMA630,463. You are not authorized to carry out copies of the printed documentation who accompanies the SOFTWARE PRODUCT. You recognized that the data that you use to construct your resume uniquely serve as a personal title and that those data are the property of their respectable owner as indicated in the SOFTWARE PRODUCT and cant be sold, lent, rent to anyone.
5. EXPORT RESTRICTIONS
You acknowledge that the Software is subject to CANADIAN export jurisdiction. You agree to comply with all applicable international and national laws that apply to the SOFTWARE PRODUCT, including the Canadian Export Administration Regulations, in particular the U.S. and France, and other countries. You are engaged to do not export the software to another country towards which the exportation is not admitted under the terms of the relative Canadian law to the exportations control.
6. SOFTWARE ON TWO TYPES OF SUPPORT.
It is possible that the SOFTWARE PRODUCT will be provided to you on many supports. Whatever the types and the sizes of the supports that are provided to you, you can use the compatible support with the used computers. You are authorized to use or to install the other support on another computer.
7. INTERNET LINKS.
The SOFTWARE PRODUCT can contain Internet links towards external Web pages at the sites of www.cvexpert.ca and www.cvexpert .net. CV Expert inc. and the author entirely disclaim from the content of those pages and are not responsible of the information that are published and disclaim of the consequences of their visit and of any problem resulting. Only the owners of those Web pages (Internet website) are held responsible of their content. The authors rights belong to all the authors or all the respective owners of those Web pages, even all the commercial brand, logos, images, sounds, texts. In case theres a problem, datas lost or prejudice, you disclaim CV Expert inc. and the author of any possible engaged pursuit from you. The Web pages, websites, search engines, directories, and the offer contents by the Internet links are available without guarantee concerning the accuracy and the availability of the sites. The content information in the Internet sites is in a constant evolution. Its absolutely impossible to carry out of completes updates at any time. CV Expert inc. could not be held responsible of the lack of accuracy of the information or of the lack of accessibility of a given site. CV Expert inc. can not guarantee the confidentiality of the transmitted information on Internet and by consequence via its web pages and all the other web sites and could not be held responsible for eventual damages caused by their divulgence and utility and you assume the whole responsibility. We recommend you to pay attention to the politics of protection of the confidential information of those sites before subscribing any information concerning yourself.
8. PRODUCT ASSISTANCE.
CV Expert inc. offers for free an after sale technical support for the SOFTWARE PRODUCT during all the period of your subscription following the date of the purchase of the SOFTWARE PRODUCT. 9. GUARANTEE OF EXCLUSION.
CV Expert inc. and his suppliers deliver the SOFTWARE PRODUCT AND THE ASSISTANCE SERVICES with ALL their imperfections, and by the present, exclude any other express guarantee, implicit, or legal relative to the SOFTWARE PRODUCT. THE END-USER RECOGNIZES THAT THE SOFTWARE PRODUCT AND HIS ASSISTANCE SERVICES CANNOT SATISFY ALL OF HIS NEEDS. During the installation of the SOFTWARE PRODUCT on the computer, a file entitled BDE Database Engine of the Borlands ® Company is installed. During the time you uninstall the SOFTWARE PRODUCT, this file and its components are not removed of the computer in case where certain programs will be using those components. You accept that the files of the database DBE Database Engine installed with the SOFTWARE PRODUCT are not automatically uninstalled during the time the SOFTWARE PRODUCT is being uninstalled. If you wish to remove anyway those files and its components (that are not taking a lot of memory on your computer) you equally can manually do it by following described steps by the Borland ® Company at their webpage: http://www.borland.com (website only in English). CV Expert inc. could not be held responsible of a bad use of the information of the Borland ® website and cannot guarantee the accuracy and the effectiveness of their information as well as the availability of the Website of the Borland ® Company.
10. EXCLUSION OF RESPONSIBILITY FOR THE DAMAGES OF THE CONTENT OF THE
SOFTWARE PRODUCT AND THE TRANSLATION.
CV Expert inc. is not responsible of all the damages or losses (the benefic losses, losses of confidential information or other information, interruptions, activities, corporal prejudices, attack to the private life, breach at all obligation, act of negligence, THE DAMAGES SUCH AS IMPOSSIBILITY OF USING EQUIPMENT OR DATA ACCES, LOSS OF CLIENTELE, LOSS OF PROFIT, or other losses, or any other dissatisfaction) because of imperfection of the SOFTWARE PRODUCT. Equally, the SOFTWARE PRODUCT can contain text in many languages. CV Expert inc. is not responsible of all damages or losses (job loss, the fact that you are not chosen for an interview or a job, all monetary loss, or all other losses) because of spelling faults, erroneous syntaxes, translation comprising errors and bad templates. CV Expert inc. does not guarantee that the used terms are just and its your responsibility to verify by yourself the accuracy of the information that you will use or that you are using and that are produced with the SOFTWARE PRODUCT. Equally, any translated text cannot be complete and CV Expert inc. cannot guarantee that all the information contained on the software are translated.
11. LIMITATION OF RESPONSIBILITY AND OF RECOURSE.
Notwithstanding any damage that you will suffer for some reason that it concerns (particularly all the enumerated damages above and all the direct or general damages), the entire responsibility of CV Expert inc. will be the replacement of the SOFTWARE PRODUCT.
12. INTEGRALITY OF THE AGREEMENTS.
The present CONTRACT (including all addenda or additional clause to the present CONTRACT whos included with the SOFTWARE PRODUCT) represents the whole recourses between you and CV Expert inc. concerning the SOFTWARE PRODUCT and the assistance services (if they exist) and cancel and replace all the communications, propositions, and previous or present, written or oral, relatives to the SOFTWARE PRODUCT or to all other object aimed by CV Expert inc..
13.00 GENERAL PROVISIONS
Unless theres a contrary effect in the present contract, the provisions ahead apply.
13.01 Major force
CV Expert inc. cannot be considered EN DÉFAUT under the terms of the present contract, if the execution of its obligations, in all or partly, is delayed or prevented consequently of a situation of major force. The major force is an exterior event, unforeseeable, irresistible and returning absolutely impossible the execution of an obligation.
13.02 Illegality
The eventual illegality or nullity of an article, of a paragraph or a provision (or part of an article, of a paragraph or a provision) could not affect in some way the legality of the other articles, paragraphs or provisions of this contract, nor either the rest of this article, of this paragraph or of this provision, unless of obvious contrary intention in the text.
13.03 Titles
Titles used in this present contract are there as reference and of convenience only. They affect in nothing the signification or the range of the provisions that they indicate.
13.04 Totality and integrality of the agreement
The present contract represents the totality and the integrality of the agreement that has been accepted by the end-user by installing the SOFTWARE PRODUCT on one or many computers. None declaration, representation, promise or condition not contained in the present contract cannot and must be admitted to contradict modify or affect in some way that it is the terms of this one.
13.05 Gender and noun
All the words and terms employed in the present contract must be interpreted like including the male and the masculine or the feminine, as well as the singular and plural according to the context or the direction of this contract.
13.06 Inalienability
None end-user cannot yield or otherwise transfer all or a part of his rights to someone in the present contract without obtaining as a preliminary the written permission of CV Expert inc. concerning this case.
13.07 Election of domicile
The parties agree upon the electing domicile in the judicial district of the city of Bromont, province of Quebec in Canada and chose this one like the appropriate district for the audition of all reclamation rising from the interpretation, the accomplishment, the validity and the effects of the present contract.
THE PARTIES HEREBY ACKNOWLEDGE THAT THEY HAVE REQUIRED THE LICENCE AGREEMENT TO BE DRAWN UP IN THE ENGLISH LANGUAGE. LES PARTIES RECONNAISSENT AVOIR DEMANDÉ QUE LE PRÉSENT CONTRAT DE LICENCE SOIT RÉDIGÉ EN LANGUE ANGLAISE.
